Terms of Service

1. Acceptance of these terms
By accessing or using RouteForge, the customer organization ("Customer") agrees to these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. The service
RouteForge is a multi-tenant SaaS operations platform for recurring service businesses. The service is currently in an invite-only beta. Access is granted to selected operators under a B2B handshake; self-service sign-up is not enabled. Features and pricing may change before general availability.
3. Customer responsibilities
- Customer is responsible for the accuracy of all data entered into RouteForge, including service location addresses, route definitions, and exception records.
- Customer is responsible for the security of credentials issued to its users (owner, dispatcher, office, and driver roles). RouteForge is not liable for unauthorized access resulting from Customer's failure to protect credentials.
- Customer agrees not to attempt to access data belonging to other organizations.
- Customer agrees to use RouteForge only for lawful purposes and in compliance with applicable federal, state, and local regulations governing the services Customer operates.
4. Acceptable use
Customer agrees not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying architecture of the service.
- Use the service to transmit unlawful, infringing, defamatory, or harmful content.
- Resell, sublicense, or otherwise transfer access to the service to any third party without prior written agreement from RouteForge.
- Interfere with or disrupt the integrity or performance of the service or its underlying infrastructure.
- Attempt to probe, scan, or test the vulnerability of any system or network associated with the service.
5. Service availability
RouteForge is provided "as is" during the invite-only beta. No uptime SLA is offered during this period. The service is hosted on Fly.io; see the Privacy Policy §4 for the full subprocessor list. RouteForge reserves the right to perform maintenance, introduce breaking changes, or discontinue features with reasonable notice during the beta period.
6. Fees
During the invite-only beta, no fees are charged. Fee terms for general availability will be communicated to existing customers at least 30 days before activation. Continued use after the effective date of any new fee terms constitutes acceptance.
7. Intellectual property
- All software, designs, documentation, and proprietary methodologies comprising RouteForge are owned by RouteForge and its licensors.
- Customer retains full ownership of all data Customer enters into RouteForge (service location records, route data, operational events, photos, etc.).
- RouteForge receives a limited, non-exclusive license to process Customer's data solely to deliver the service and as described in the Privacy Policy.
8. Confidentiality
Each party agrees to protect the other's confidential information disclosed in connection with the service with at least the same care it applies to its own confidential information, and in no case less than reasonable care. Confidential information does not include information that: (a) is or becomes publicly known without breach of this agreement; (b) was rightfully known before disclosure; or (c) is independently developed without reference to the other party's confidential information.
9. Termination
- Either party may terminate the beta arrangement on 30 days' written notice.
- RouteForge may terminate or suspend Customer's access immediately for material breach of these Terms, including violation of the Acceptable Use provisions in §4.
- On termination, RouteForge will provide a reasonable opportunity for Customer to export its data before deletion, consistent with the retention terms described in the Privacy Policy §5.
10. Limitation of liability
To the maximum extent permitted by applicable law, RouteForge's aggregate liability for any claims arising from or related to the service is limited to fees paid by Customer in the 12 months preceding the claim. In the invite-only beta, where no fees are charged, liability is capped at one hundred US dollars ($100.00). In no event will either party be liable for indirect, incidental, special, punitive, or consequential damages, regardless of the theory of liability.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ROUTEFORGE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
12. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising under these Terms will first be subject to good-faith negotiation between the parties for 30 days. If unresolved, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English, with the arbitration seat in Delaware. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
13. Changes to these terms
RouteForge may update these Terms at any time. Material changes will be communicated via the in-app acceptance flow before access continues — the updated version must be reviewed and accepted before using the service. Continued use after the new effective date constitutes acceptance. The date of the most recent version is shown at the top of this document and in the Changes section below.
